Upon completing this course, participants will be able to:

  • Identify potential problems with the association “check the box” elections for LLCs becoming S Corporations.
  • Distinguish among alternatives for purchases and sales of S Corporations.
  • Understand the rules regarding Trusts as S Corporation shareholders, and the problems these rules can create for your clients.
  • Recognize some of the complex interplay among shareholder basis, taxable income, distribution and losses.
  • Understand why build-in gains may become problems for S Corporations, and develop some strategies to alleviate the issues.
  • Evaluate uses of Qualified Subchapter S subsidiaries in corporate combinations and divisions.
