Learning Objectives
Upon successful completion of this course, participants will be able to:
  • Section 1
    • Determine whether a contribution of property to a corporation meets the requirements of IRC §351.
    • Calculate the tax consequences for transfers of property in a §351 transaction, and calculate a corporation’s earnings and profits.
    • Explain the rationale for exceptions to non-recognition treatment under IRC §351, and distinguish whether redemptions should be treated as sales or exchanges or as dividends.
  • Section 2
    • Calculate the amount that qualifies for sale or exchange treatment under IRC §303.
